Website Build Agreement

The plain-English terms for your one-time website build. Prepared for ReFitness Therapy.

Groe Digital Inc. (Ontario, Canada) · hello@groedigital.com

The short version

  • $1,000 CAD + applicable tax, one time. No monthly fees. Hosting is included.
  • We build you one custom website, on your brand, and put it live on your domain.
  • Small copy and factual tweaks happen before launch. After launch the site stays as it is.
  • Any change after launch is quoted separately as its own small job.
  • You keep your domain and your content. We build the site on our platform and host it for you, with no subscription.

1.Who this is between

This agreement is between Groe Digital Inc. ("Groe", "we", "us"), an Ontario company, and you, the business purchasing the website build ("you", "the Client"). By completing checkout for the website build, you agree to these terms.

2.What you get

3.What it costs

The build is $1,000 CAD + applicable tax, paid one time at checkout. There are no monthly fees. Hosting is included for as long as your site is with us. Your domain name itself (buying it and its yearly renewal) is paid by you to your domain provider, and is not part of this fee.

4.Revisions, before launch

While we are building, we will make reasonable small changes to your copy and factual details (hours, pricing, address, links, and similar) until you are happy and the site goes live. This is the time to get everything right.

5.After launch, the site stays as it is

Once your site is live, it is delivered as it stands. Any later change, addition, redesign, or new feature is a separate job that we will quote for you first, and is not included in this fee. You are never charged for something you have not approved. If you would like a bigger update down the road, we also offer an upgraded version with an editable dashboard, quoted separately.

6.Hosting

We host your site on a fast, secure network and keep it online at no extra charge while it stays with us. If you ever decide to move on, we will give you a one-time copy of your content, and the site we host is taken offline once hosting ends.

7.Your domain and going live

You always own your domain. It stays registered in your name and your account with your domain provider. To publish your site, the simplest and standard way is for you to point your domain's nameservers to our network one time, after which we handle all the technical setup and keep it running, with nothing further for you to manage. This is only a technical pointer, it does not change who owns the domain, and you can point it elsewhere at any time. If your domain already runs email or other services, we copy those settings across first so nothing breaks. If you would rather not move your nameservers, we can instead give you a single record to add at your domain provider.

8.What we need from you

You confirm you have the right to use everything you give us (logos, images, and text).

9.What's yours, and what's ours

Your brand, your content, your copy, your photos and your domain are and stay yours. The website itself, its design, build and code, is created on and runs on Groe's platform, which remains ours; it is a hosted service, not a standalone file we hand over. There is no subscription: hosting is included as part of this one-time build, for as long as your site is with us. If you ever choose to move on, we will provide a one-time export of your content, and the hosted site is taken offline.

10.Timing

We usually have a first version ready within about five to ten business days after we have your content and access. Timing can shift if we are waiting on materials from you.

11.Refunds

Because this is a made-to-order build, the fee is non-refundable once your site is live. If, before launch, we are unable to deliver a site you are happy with, we will work with you in good faith on a fair resolution.

12.Limits

Your site is provided on an "as is" basis. To the extent the law allows, our total responsibility under this agreement is limited to the amount you paid, and we are not responsible for indirect or knock-on losses, or for third-party services we do not control (such as your domain provider or your booking system).

13.Cancelling

You may cancel before your site goes live; we will refund any portion of the fee for work not yet done, at our reasonable discretion. After the site is live, the fee is non-refundable, and you can of course stop hosting with us at any time per section 6.

14.The rest

This agreement is governed by the laws of the Province of Ontario, Canada. It is the whole agreement for the website build and replaces any earlier discussion. We may contact you about your project (for example, to arrange go-live or ask for materials).

By completing checkout for the website build, you confirm you have read and agree to this Website Build Agreement.
